Abstract

ABSTRAK Penelitian ini bertujuan untuk memahami akan Pengaturan badan usaha berbadan hukum (BUM DESA) sebagai badan usaha perspektif peraturan perundang-undangan. Adapun rumusan masalah dalam penelitian ini 1. Bagaimana Pengaturan BUM Desa Sebagai Badan Usaha Dalam Perspektif Peraturan Perundang- Undangan? 2. Bagaimana Tanggung jawab BUM Desa Atas Kerugian Pihak Ketiga Dalam Perspektif Peraturan Perundang – Undangan? Metode penelitian menggunakan tipe penelitian hukum secara yuridis normatif. Penelitian hukum normatif merupakan kajian mendalam terhadap aspek-aspek internal dari sistem hukum yang berlaku, dengan tujuan untuk mengidentifikasi dan menyelesaikan permasalahan hukum yang ada. Hasil penelitian menunjukan adanya saat BUM DESA berbentuk PT maka proses pembentukannya akan tetap menggunakan dua aturan yang ada yaitu dengan tetap menggunakan Peraturan pemerintah Nomor 11 Tahun 2021 tentang Badan Usaha Milik Desa dan Undang-undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas serta mengenai tanggung jawab BUM DESA atas kerugian pihak ketiga dimana BUM DESA wajib mengganti kerugiannya dengan memperhatikan beberapa hal seperti saat menjalankan usahanya, BUM Desa harus memperhatikan prinsip-prinsip hukum yang berlaku, seperti prinsip tanggung jawab. Tanggung jawab ini akan berbeda saat disebabkan oleh kelalaian pengurus atau murni karena kesalahan BUM DESA sendiri. Kesimpulan dari penelitian ini ialah dengan menggunakan kedua aturan yang ada, perlu dibentuknya aturan baru akan BUM DESA yang berbentuk badan hukum lainnya terkhusus PT dan Tanggung jawab lebih lanjut akan BUM DESA atas kerugian pihak ketiga. Kata kunci: Badan Usaha, BUM DESA, Tanggung Jawab Hukum ABSTRACT This research aims to understand the regulation of legal entity (BUM DESA) as a business entity in the perspective of legislation. How is the Regulation of BUM Desa as a Business Entity in the Perspective of Legislation? 2. How is BUM Desa Responsibility for Third Party Losses in the Perspective of Legislation? The research method uses a normative juridical type of legal research. Normative legal research is an in-depth study of the internal aspects of the applicable legal system, with the aim of identifying and solving existing legal problems. The results showed that when BUM DESA is in the form of PT, the formation process will continue to use the two existing rules, namely by continuing to use Government Regulation Number 11 of 2021 concerning Village-Owned Enterprises and Law Number 40 of 2007 concerning Limited Liability Companies and regarding BUM DESA' responsibility for third party losses where BUM DESA is obliged to compensate for its losses by paying attention to several things such as when running its business, BUM Desa must pay attention to applicable legal principles, such as the principle of responsibility. This liability will differ when caused by the negligence of the management or purely due to the fault of the BUM DESA itself. The conclusion of this research is that by using the two existing rules, it is necessary to establish new rules for BUM DESA in the form of other legal entities, especially PT and further responsibility for BUM DESA for third party losses.
